Memorandum of Oil, Gas and Mineral Lease

MEMORANDUM OF OIL, GAS AND MINERAL LEASE This Memorandum of Oil, Gas and Mineral Lease (this "Memorandum") is made and entered into effective as of January 2, 2024 (the "Effective Date"), by and between MARTHA MONACO; KOCH FAMILY LP, a Texas limited partnership; MARY R. ROMBOKAS; EDWIN W. PATTERSON; WHITE FAMILY TRUST; and SUSAN H. WHITE (collectively, "Lessor") and KEW DRILLING LP, a Texas limited partnership ("Lessee"). For Ten Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Lessor has GRANTED, LEASED, and LET, and by these presents does GRANT, LEASE, and LET, exclusively unto Lessee, for the purposes hereinafter set forth, the following described land (the "Leased Premises"): All of Sections 23, 24, 31, and 32, Block A, Public School Lands, the County, Texas, containing in the aggregate approximately 640 acres, more or less. Reference is hereby made to that certain Oil, Gas and Mineral Lease of even date herewith, executed by and between Lessor and Lessee, the terms and provisions of which are incorporated herein by reference for all purposes (the "Lease"). This Memorandum is executed and recorded for the purpose of providing record notice of the existence of the Lease. PRIMARY TERM: Three (3) years from the Effective Date. ROYALTY: Twenty-five percent (25%) of the market value at the well of all oil, gas and other hydrocarbons produced and saved from the Leased Premises. DEPTH PROVISIONS: This Lease covers all depths from the surface to the base of the deepest formation encountered. PUGH CLAUSE: Vertical Pugh clause; lease may be partially released as to depths and/or non-producing portions per the terms of the Lease.
